1. Parties and acceptance
This agreement governs authorized use of TeckNation Project Planner, including its web application, installed web app, TeckNation AI features and accompanying documentation. The provider and licensor is TeckNation Access Control LLC (we, us). You are the individual accepting this agreement and, when you identify an organization and have authority to bind it, that organization. Review this agreement and the linked Terms of Service and Privacy Policy before signing. Your typed name, express agreement, electronic-signature consent and confirmation of authority record your acceptance. Viewing this page does not sign this agreement or purchase a subscription.
2. License grant and authorized access
During your authorized access period, we grant you a limited, nonexclusive, nontransferable right to use TeckNation Project Planner and its documentation for your own business, assigned work or customer projects, within the features, user roles and limits of your approved account and applicable order. You may install the provided web app on devices you control and use available templates to prepare your own business documents. Invited staff and customers may use their separately approved accounts for the permissions assigned to them. This is a license to use the service, not a sale or transfer of its underlying software. Access approval, software-license acceptance and payment status are separate requirements; accepting this agreement does not activate paid features or grant administrative access.
3. Packages, fees and payment authorization
The selected order, proposal or subscription confirmation identifies the applicable package, enabled features, subscription term, fees, renewal arrangement and cancellation terms. Any recurring charge, payment-processing charge or platform fee must be disclosed and separately authorized where required. This agreement alone does not authorize a charge or create an automatic renewal. Free access is limited to the features expressly made available without charge. Separate installation, service, equipment, monitoring and third-party subscription charges are governed by their own agreements. A signed negotiated order controls over this agreement for the specific matters it expressly changes.
4. Your data, branding and documents
You retain your rights in your uploaded plans, photographs, logos, customer records and other materials. You may use and share the quotes, bids, invoices, reports and other documents you create with TeckNation Project Planner for your business, subject to rights in any included third-party material. You grant us permission to host, process, display and transmit your materials only as reasonably needed to provide, secure and support the service and as described in the Privacy Policy. You are responsible for authority to upload and share those materials and to process personal information. This license does not grant us ownership of your customer data or your company branding, and it does not itself provide marketing or text-message consent.
5. Software and brand rights
TeckNation Access Control LLC and its licensors retain their applicable rights in TeckNation Project Planner, its original software, documentation and branding. Except for rights expressly granted here or by a separate license, all rights are reserved to the extent protected by applicable law. No right to use our marks to suggest endorsement or to market a separate product is granted. Customer-owned materials, third-party components and third-party marks remain subject to their respective ownership and license terms.
6. Use restrictions and legal exceptions
Do not sell, sublicense, redistribute or offer the platform itself as a separate hosted service without written authorization. Do not share individual account credentials, bypass access or package controls, interfere with the service, or access another account's data without permission. Do not copy protected software, remove required rights notices, or reverse engineer the proprietary software except where applicable law permits it notwithstanding this restriction. These restrictions do not limit lawful independent development, general professional knowledge, protected reporting or rights granted under an applicable open-source license.
7. Third-party software, services and media
Open-source components are governed by their own licenses, which control for those components if they conflict with this agreement. The Third-Party Notices page identifies included notices and license texts. Integrations, payment providers, manufacturer product information and partner images or documents may require separate accounts, permissions or agreements. Access through TeckNation Project Planner does not grant redistribution rights to restricted partner material or transfer a manufacturer's trademark rights. You are responsible for your authorized use of connected services.
8. Planning tools, AI and service availability
TeckNation Project Planner assists with business records and planning. Review generated content, calculations, quantities, prices, technical recommendations and AI output before relying on them or issuing documents. Software access is not a trade license, permit, engineering approval or authorization to perform regulated work. Verify jurisdictional requirements and use qualified professionals where needed. Availability, support commitments and any service-level terms are those expressly agreed in your order; no uninterrupted-service or error-free-output guarantee is created by this agreement. Each party remains responsible for its own conduct and obligations under applicable law. No liability or statutory right that cannot lawfully be excluded is excluded here.
9. Duration, suspension and ending access
This license begins when you accept it and lasts while your account remains authorized under the applicable free-access permission, subscription or order. We may suspend access to address unauthorized use, a material breach, nonpayment under an agreed order, a security threat or a legal requirement. Where reasonably possible and lawful, we will give notice and an opportunity to resolve the issue. Cancellation and any refund rights follow your order and mandatory law. When access ends, stop using the platform and retain only copies you are otherwise entitled to keep, including your own business documents and signed agreements. Use available export features before access ends or contact support to request available data export; retention and deletion remain governed by the Privacy Policy and applicable law.
10. Updates and agreement records
We may maintain and update the software without transferring ownership. Changes to this license will be presented under a new version for acceptance before continued use under the changed terms. A new acceptance does not overwrite an earlier signed record. You may print or save this agreement and your signed copy. The signed record includes the account identity, signer name, any identified organization, agreement version, acceptance time and exact accepted text.
11. Governing terms and contact
Texas law governs this agreement except where mandatory law requires otherwise. Nothing here imposes mandatory arbitration, waives statutory consumer rights or limits protected legal reporting. If a provision cannot lawfully be enforced, the remaining lawful provisions continue to apply. This software license supplements the Terms of Service and Privacy Policy and does not replace a project contract, employment agreement, confidentiality agreement or payment authorization.
